The New York Songwriters’ Circle Inc. d/b/a SongCircle Music (“SC”) offers, owns and operates the songwriter-focused and music-centric Internet web site located at http://www.songcirclemusic.com (the “Website”)
BY ACCESSING OR USING THE WEBSITE, AND UPON BECOMING A MEMBER, YOU AGREE TO BE BOUND BY THESE WEBSITE TERMS OF USE (“TERMS”). IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU ARE PROHIBITED FROM ACCESSING OR USING THE WEBSITE AND SHOULD EXIT THE WEBSITE IMMEDIATELY.
The SongCircle(sm) Website includes a wide-range of music, content, information, tools and communications features related to songwriting and the music industry (“Content”). All Website visitors may view and listen to Content made available in public areas of the Website solely as permitted by relevant portions of these Terms and by applicable laws and regulations. Once enrolled in a free or Premium (paid) Membership, SongCircle Members may also utilize their online and offline Membership Benefits strictly in accordance with relevant portions of these Terms and as allowed by applicable laws and regulations.
1. Public Visitor Use License
As to Content made publicly available on the Website by SC, permission is granted to temporarily download one copy of such Content for personal, non-commercial transitory viewing and use only in accordance with these Terms. This is the grant of a license, not a transfer of title, and under this license you may not: (a) modify or make further copies such Content; (b) use such content for any commercial purpose, or for any public display (commercial or non-commercial); (c) remove any copyright or other proprietary notations from such Content; (d) transfer such Content to another person or "mirror" such Content on any other server, or (e) attempt to decompile or reverse engineer any software contained on the Website. This license shall automatically terminate if you violate any of these restrictions or any other relevant portions of these Terms, and may be terminated by SC at any time. Upon the termination of your rights under this license, you must destroy any Content downloaded from the Website in your possession or under your control, whether in electronic or printed format. All terms contained herein that are not stated to be applicable solely to SongCircle Member shall be applicable to you.
2. SongCircle Member Use License
SongCircle Membership is available to any individual artist thirteen (13) years of age or older, void where prohibit. Accounts set up for any organization will be deleted, including, without limitation, production companies and recording studios, without refund of any fees. Member use of the Website is for the personal, promotional and/or commercial use of such Member as specifically allowed by these Terms.
In addition to the right to use any publicly available Website Content in accordance with Section 1 above, each duly enrolled SongCircle(sm) Member is hereby authorized to access and utilize all other Website Content in accordance with the stated terms of each such SongCircle platform, feature and service and these Terms, including temporary download of one copy of the Content for personal, non-commercial transitory viewing and use only. This is the grant of a license, not a transfer of title, and except as specifically allowed by the Content feature or specs, under this license you may not: (a) modify or make further copies of such Content; (b) use such Content for any commercial purpose, or for any public display (commercial or non-commercial); (c) remove any copyright or other proprietary notations from such Content; (d) transfer such Content to another person or "mirror" such Content on any other server, or (e) attempt to decompile or reverse engineer any software contained on the Website. This license shall automatically terminate if a Member violates any of these restrictions or any other relevant portions of the Content feature specs or these Terms, and may be terminated by SC for such violation, in SC’s sole determination. Member may terminate their Membership by using the tools provided in the Membership area of the Website, provided that no fees paid by such Member will be refunded.
Upon the termination of a Member’s rights under this license, the Member must destroy any Content downloaded from the Website in such Member’s possession or under control, whether in electronic or printed format. All terms contained herein that are not stated to be applicable solely to those accessing publicly available portions of the Website and Content shall be applicable to Members.
3. Disclaimer
The Content appearing on the Website includes materials provided by SC and by Members (non-Members may not post any materials on the Website), and may include technical, typographical, or photographic errors. SC takes no responsibility whatsoever for Member Content, and does not warrant that any of the Website Content is accurate, complete, or current. SC may make changes to any Content at any time, with or without notice; however SC does not make any commitment to review or update any portion of the Content.
ALL CONTENT ON THE WEBSITE IS PROVIDED "AS IS". SC MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS. 4. Limitations
IN NO EVENT SHALL SC OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR PROFIT, OR DUE TO BUSINESS INTERRUPTION,) ARISING OUT OF THE USE OR INABILITY TO USE ANY CONTENT ON THE WEBSITE, EVEN IF SC OR SC’S AUTHORIZED REPRESENTATIVE HAS BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE. 5. Member Materials and Member Content
By registering for and maintaining a SongCircle Membership, each Member hereby grants to SC a non-exclusive license to use and to permit others to use throughout the universe the professional name of Member, likenesses posted on the Member pages, and other descriptions and biographical material posted on the Member pages concerning Member (collectively the "Member Materials") in connection with the advertising and promotion of SC, the Website and SC’s products and services, and provision of Membership Benefits to Members, or to refrain from such activities.
Each Member hereby acknowledges and agrees that Member Materials and other information, code, data, text, software, music, sound, photographs, pictures, graphics, video, chat, messages, files, or other materials submitted to or posted on the Website by Member (“Member Content”), whether publicly posted or privately transmitted, are the sole responsibility of the Member from whom such Member Content originated. This means that Member, and not SC, is and shall be entirely responsible for all Member Content uploaded, posted, emailed or otherwise transmits via the Website. Section 7 regarding Member Conduct applies to Member use of the Website. You acknowledge and agree that SC and its designees shall have the right (but not the obligation), in their sole discretion, to refuse to publish, remove, or block access to any Member Content, in their sole discretion, that violates the Terms of Use or is otherwise objectionable as determined by SC, in its sole discretion. Illegal and/or unauthorized uses of the Website, including, without limitation, collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or offers, and unauthorized framing of or linking to the Website will be investigated and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive remedies.
By posting Member Content on the Website (including, without limitation, blogs, master recordings, artwork, photographs, fan comments and tour dates) you warrant and represent that you own or otherwise have the express right to grant the license to SC and others set forth in this section in such Member Content, and that such Member Content does not violate the privacy rights, publicity rights, copyright rights or other intellectual property rights of any third party. You agree to pay for all royalties, fees and damages owing to any person by reason of any Member Content you post on the Website. As to any Member Content posted by or in connection with exercising your Membership Benefits, you hereby grant SC a world-wide, royalty free, irrevocable, perpetual license, alone or together or as part of other materials of any kind or nature, to use, copy, modify, publish, edit, translate, transmit, publicly display, publicly perform, and otherwise exploit such Member Content (specifically including through streaming, podcasting, online/broadcast and satellite radio and suggested digital playlists but excluding through phonograph records), to publish, promote and use such Member Content in connection with providing the Membership Benefits, to publish and promote such Member Content elsewhere within the Website, and to sublicense other Members and visitors to use the Member Content as provided in these Terms, and sublicense other companies to exercise SC’s rights to utilize such Member Content, all without any payment or other obligation to you, whether by way of compensation, attribution or otherwise. Such license shall apply with respect to any form, media, or technology now known or hereafter developed.
6. Member Conduct
The Member features provided on the Website may only be used for the intended purpose for which such feature is made available.
Each Member agrees not to use the Website or any Content or feature to:
a) Upload, post, email, otherwise transmit, or post links to any materials whatsoever that you do not have a right to provide or transmit under any law or regulation or under contractual or fiduciary relationships (such as proprietary or confidential information, or third party intellectual property).
b) Transmit, or post links to, any material, or select any member or user name or email address, that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable.
c) Transmit, or post links to, any material that promotes provides instruction for any illegal activity or that exploits the images of children under 18 years of age, or that discloses personally identifying information belonging to children under 18 years of age or harm minors in any other way.
d) Make any sexual request of, or on behalf of, a minor or stalk or otherwise harass or bully any other person.
e) Collect or store personally identifying information about other Members or users for commercial or unlawful purposes, or impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
f) Employ misleading email addresses or falsify information in any part of any communication, including emails and blogs, transmitted through the Website.
g) Transmit, or post links to, any material that facilitates hacking.
h) Transmit, or post links to, any material that infringes any patent, trademark, service mark, trade secret, copyright or other proprietary rights (“IP Rights”) of any entity, or may contribute to inducing or facilitating infringement of IP Rights.
i) Transmit, or post links to, any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, except in those areas that are designated for such purpose.
j) Transmit, or post links to, any material that contains software viruses, worms, Trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance of, or impair the functionality of the Website or the Content.
k) Use automated means, including additional computers, software and scripts, to enhance ratings in any Website playlist or promotions, increase the number of plays of songs of any particular Member on the Website or increase traffic to or fans of any Member.
l) Use automated means, including spiders, robots, crawlers, or the like, to download data from any Website or SC database.
m) Offer, advertise or conduct your own contests, sweepstakes or promotions.
n) Modify, aggregate, publish, transmit, transfer or sell, or otherwise exploit any Content except as specifically provided by the Terms, including, without limitation, by incorporating data from the Website or any SC database into any e-mail, “white pages” or “yellow pages” products or services, or otherwise.
o) Create and maintain Member Content that (i) redirects to another web page, (ii) stores or hosts content for remote loading by other web pages, or (iii) contains hyperlinks to materials not permitted on the Website.
p) Purchase any goods or services that you are prohibited from purchasing or possessing by any law applicable to you in your jurisdiction. The responsibility for ensuring compliance with all such laws shall be the Member’s alone. By submitting an order to purchase goods or services, you represent and warrant that you have the legal right to purchase such goods or services.
7. Intellectual Property Rights
Except as expressly provided otherwise, nothing within any of the Content shall be construed as conferring any license under any of SC's or any third party's intellectual property rights, whether by estoppel, implication, waiver, or otherwise. Without limiting the generality of the foregoing, you acknowledge and agree that certain Content available through and used to operate and provide the Website is protected by copyright, trademark, patent, or other proprietary rights of SC and its affiliates, licensors (including, without limitation, Members), and service providers. Except as expressly provided to the contrary, you agree not to modify, alter, or deface any of the trademarks, service marks, or other intellectual property made available by SC in connection with the Products and Services. You agree not to hold yourself out as in any way sponsored by, affiliated with, or endorsed by SC, any of SC’s affiliates, or any of SC’s service providers. You agree not to use any of the trademarks or service marks or other Content accessible through the Website for any purpose other than the purpose for which such Content is made available to you.

11. Contests and Live Events
From time to time, SC may offer or sponsor judged contests and live events for Premium Members. Eligibility and participation in such contests and events is in accordance with the applicable Contest Rules and event terms posted on the Website as well as these Terms
12. Modifications by SC
SC may revise the Website, the Content and these Terms at any time without notice. By using the Website and/or the Content, you are agreeing to be bound by the then-current version of these Terms.
13. Entire Agreement and Governing Law
These Terms and any additional materials reference herein constitute the sole and complete agreement between you and SC regarding provision and use of the Website and your Membership (if any), and may only be amended as stated above or in a writing signed by a duly authorized official of SC. Any disagreement or claim relating to these Terms or the Website shall be governed by the laws of the State of New York without regard to its conflict of laws provisions. Any claim related to these Terms or your Membership shall be brought in a federal or state court in New York County, New York, within one year after the claim arises.
